Terms of Advisory Engagement

1. Acceptance of Terms
These Terms of Advisory Engagement (“Terms”) govern all interactions, consultations, assessments, and contractual advisory services provided by Spark Axisbase Consulting Ltd. (“Spark Axisbase,” “we,” “us,” or “our”), registered in Taiwan, via our website located at spark-axisbase.click or through executed Statements of Work (SOW).
2. Nature of Advisory Services
Spark Axisbase delivers technical architecture consulting, legacy codebase audits, system decomposition planning, and engineering guidance. Our recommendations, Architecture Decision Records (ADRs), and diagnostic reports represent expert professional analysis based on data and repository metadata provided by the client organization.
3. Client Responsibilities & Repository Access
To facilitate accurate architectural evaluations, clients agree to provide timely, secure, read-only access to relevant source code repositories, architectural documentation, and key technical personnel. Clients maintain sole authority and responsibility over the deployment and execution of production code within their operating environments.
4. Intellectual Property Rights
All bespoke deliverables, architectural roadmaps, custom migration scripts, and documentation generated specifically for a client under an executed Statement of Work become the exclusive intellectual property of the client upon full settlement of associated milestone invoices. Spark Axisbase retains rights to general domain-neutral methodologies, public architectural patterns, and proprietary assessment frameworks utilized in formulating recommendations.
5. Confidentiality & Non-Disclosure
Both parties agree to treat all proprietary source code, internal system metrics, business logic, and commercial terms as strictly confidential. Spark Axisbase enforces stringent internal data security protocols, ensuring client code assets are accessed exclusively via encrypted channels and never shared with third parties.
6. Limitation of Liability
To the maximum extent permitted by applicable law in Taiwan, Spark Axisbase shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of system modifications or production implementations executed by client teams. In all events, the total cumulative liability of Spark Axisbase shall be strictly limited to the total fees paid by the client under the specific Statement of Work giving rise to the claim.
7. Governing Law & Jurisdiction
These Terms and all related contractual engagements shall be governed by and construed in accordance with the laws of Taiwan (Republic of China). Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the district courts of New Taipei City, Taiwan.
